Initiative Debated in Standing Committee on State and Legal Affairs: The executive body is reforming the registration/accounting process in Armenia

“The Government proposes amendments to the Laws on State Registration of Legal Entities, Separated Divisions of Legal Entities, Enterprises and Individual Entrepreneurs and on Limited Liability Companies in order to reform and simplify the registration/accounting procedure in Armenia, as well as to make the registration process more accessibility for running a business,” the RA Deputy Minister of Justice Armenuhi Harutyunyan noted at the sitting of the NA Standing Committee on State and Legal Affairs on November 30.

According to the Deputy Minister, certain norms were changed by the initiative, which in practice could lead to contradictions and misunderstandings.

It was noted that the exhaustive lists of information to be recorded in the state registration of legal entities and the state unified register are defined by law. The information provided by the Judicial Department and the Compulsory Enforcement Service on the absence of initiated and pending court cases and proceedings with the participation of a legal entity are also submitted for the state registration of the liquidation of a legal entity under the current legislation,” the rapporteur underlined, adding that the requirement to submit such references will be removed if the draft is adopted.

Instead, the Head of the executive body will submit a declaration that there are pending court cases initiated with the participation of a legal entity, as well as enforcement proceedings. There are no administrative proceedings against the given legal entity by the State Commission for Protection of Economic Competition.

The status of the Agency for State Register of Legal Entities as an office of the Ministry of Justice is defined, also providing provisions on succession.

The MPs presented comments and suggestions regarding the initiative, which the author will take into account in the first to the second reading.

According to the key rapporteur, MP Alkhas Ghazaryan, the initiative is aimed at modernizing the services provided by the state register and ensuring accessibility for every person who uses the service. The deputy called on to vote in favor.
